Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you ("you," "your") and UpdatePilot ("we," "us," "our"), the operator of updatepilot.ai and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.


2. Description of the Service

UpdatePilot is a two-sided platform that helps startup founders compose and send investor updates, and helps investors discover and monitor companies. The Service includes:

  • A web application for creating, editing, and distributing investor updates
  • AI-powered draft generation tools
  • Third-party integrations for automatic metric population
  • MCP (Model Context Protocol) servers for interacting with UpdatePilot through AI assistants
  • A public discovery platform for investors to browse, subscribe to, and follow companies
  • Email delivery of investor updates with engagement analytics
  • A three-tier data visibility system controlled by founders

3. Definitions

Founder Account — An account used to create and send investor updates. Founder accounts require a paid subscription after any applicable trial period.

Investor Account — An account used to browse, subscribe to, and receive investor updates. Investor accounts may be free or paid depending on the selected tier.

Update — A monthly investor update composed by a founder, which may include key performance indicators (KPIs), narrative text, highlights, lowlights, asks, and evidence attachments.

Public Profile — A founder's opt-in discovery page visible to any UpdatePilot user or visitor.

Subscriber — An investor who has subscribed to a founder's profile. Subscribing does not require founder approval.

Full Access — A permission level explicitly granted by a founder to a specific investor, providing access to the founder's complete update data.

MCP Server — A Model Context Protocol server that enables AI assistants (such as Claude Desktop or OpenClaw) to interact with UpdatePilot's API on a user's behalf.

API Token — A personal authentication credential generated from a user's dashboard, used to authorize MCP server and API access.


4. Account Registration and Eligibility

4.1 Eligibility

You must be at least 16 years old to create an account. If you are between 16 and 18, you must have the consent of a parent or legal guardian. The Service is designed for business professionals and is not intended for personal consumer use unrelated to startup operations or investment.

4.2 Account Creation

You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and API tokens. You are responsible for all activity that occurs under your account, whether or not authorized by you. You will notify us immediately at support@updatepilot.ai if you suspect unauthorized access to your account.

4.3 One Account Per Person

Each individual may maintain one Founder Account and one Investor Account. Creating multiple accounts to circumvent usage limits, access controls, or subscription requirements is prohibited.


5. Founder-Specific Terms

5.1 Update Content

Founders are solely responsible for the accuracy and legality of the information included in their updates. UpdatePilot does not verify the accuracy of financial metrics, narrative claims, or other data entered by founders. Founders must not include materially false or misleading financial information with the intent to deceive investors. Updates are business communications — founders should exercise the same care they would in any investor correspondence.

5.2 Data Visibility and the Three-Tier Model

Founders control the visibility of their data through UpdatePilot's three-tier access model.

Public Tier — If you opt into a public profile, certain information (company name, sector, team size range, streak length, and any optional fields you enable) will be visible to anyone browsing UpdatePilot. You choose which optional fields are displayed. Opting out removes your profile from public browsing and search at any time.

Subscriber Tier — Investors can subscribe to your profile without your approval. Subscribers see additional data such as trend magnitudes, full narrative text, asks, and your update archive. You can see who has subscribed.

Full Access Tier — You explicitly grant full access to specific investors. Full-access investors see your complete data including exact KPI values, cash and burn figures, runway, all lowlights, and evidence. You can revoke full access at any time.

You acknowledge that once an update is delivered to a full-access investor (whether via email or the platform), you cannot control what that investor does with the information outside of UpdatePilot. This mirrors the reality of any investor communication.

5.3 AI-Generated Drafts

UpdatePilot's AI features generate draft text based on the metrics and narrative you provide. AI-generated content is a suggestion — you are responsible for reviewing and approving all content before it is sent. We do not guarantee the accuracy, completeness, or suitability of AI-generated drafts. Sending an update constitutes your endorsement of its contents.

5.4 Integrations

When you connect third-party services (Stripe, ChartMogul, Mercury, Brex, Google Analytics, Mixpanel, or others), you authorize UpdatePilot to access the specific data described in our Privacy Policy. You represent that you have the authority to grant this access. You may disconnect any integration at any time. Disconnecting stops future data imports but does not retroactively remove previously imported metric snapshots from your update history (you may delete those separately).

5.5 Email Delivery

When you send an update through UpdatePilot, we deliver it via email on your behalf. We include open and click tracking by default to provide you with engagement analytics. You are responsible for ensuring that you have a legitimate basis to email each recipient on your investor list. We are not responsible for the deliverability of emails to recipients whose email providers filter or block our delivery infrastructure.

5.6 Streak and Consistency Features

UpdatePilot tracks your update streak (consecutive months with a sent update) and may send you reminders. Streak data is used internally for engagement features and may be displayed on your public profile if you have one enabled. You can disable streak reminders in Settings → Notifications.


6. Investor-Specific Terms

6.1 Use of Company Data

Information you access through UpdatePilot — whether from public profiles, subscriber-tier data, or full-access updates — is provided for your personal evaluation and investment decision-making purposes. You may not republish, redistribute, or publicly disclose specific financial data (exact KPI values, burn rates, runway figures) obtained through the Service without the founder's written consent. Aggregated, anonymized market observations (e.g., "SaaS companies in fintech are seeing 20% average MoM growth") are permitted.

6.2 Access Requests

When you request full access to a founder's data, the founder will receive a notification including your name, firm name, and Investor Account details. There is no guarantee that access will be granted. Repeated or harassing access requests to the same founder may result in account restrictions.

6.3 Subscriptions and Alerts

Subscribing to a founder's profile does not create any contractual relationship between you and that founder. Founders can see that you have subscribed. If you no longer wish a founder to know you are following their profile, you must unsubscribe.

6.4 Investor Tier Limitations

Free Investor Accounts are limited to 5 company subscriptions, basic search, and 1 saved alert. Pro and Fund tier features are described in our pricing documentation. We reserve the right to modify tier limits with 30 days' notice.


7. MCP Server and API Terms

7.1 API Token Responsibility

Your API token grants programmatic access to your UpdatePilot account. Treat your API token like a password. Do not share it, commit it to public code repositories, or embed it in client-side code. You are responsible for all actions taken using your API token. If your token is compromised, revoke it immediately from Settings → API & Integrations and generate a new one.

7.2 MCP Server Usage

The MCP server translates AI assistant interactions into UpdatePilot API calls. The MCP server operates with the same permissions as your account — it cannot access data beyond what you can access through the web interface. We do not store, log, or access the conversations between you and your AI assistant. Only the structured API calls (setting KPIs, generating drafts, sending updates, etc.) are processed by our servers.

7.3 AI Assistant Actions

When you use an AI assistant with the UpdatePilot MCP server, you remain responsible for all actions taken. If your AI assistant sends an update, sets a KPI, or changes a visibility setting, it is treated the same as if you performed those actions manually. Review AI-initiated actions before confirming irreversible operations like sending updates or publishing to your public profile.

7.4 Rate Limits

API and MCP server access is subject to reasonable rate limits. Current limits are published in our API documentation. We reserve the right to throttle or suspend access for accounts that significantly exceed normal usage patterns.


8. Payments and Billing

8.1 Subscription Plans

Founder Accounts require a paid subscription at $19 per month (or $190 per year if billed annually). Investor Accounts are available in Free ($0/month), Pro ($29/month or $290/year), and Fund ($99/month or $990/year) tiers. All prices are in US dollars and are subject to change with 30 days' notice to existing subscribers.

8.2 Billing

Subscriptions are billed in advance on a monthly or annual basis through Stripe. You authorize us to charge your payment method on file for all applicable fees. If a payment fails, we will attempt to notify you and retry the charge. After 14 days of failed payments, your account may be downgraded or suspended.

8.3 Cancellation

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period — you retain access to paid features until then. We do not provide prorated refunds for partial billing periods. If you cancel a Founder Account, your existing updates, metrics, and history remain accessible to you in read-only mode. Your public profile (if any) will be taken offline, and investor access will be suspended.

8.4 Free Trial

We may offer a free trial period for new Founder Accounts. If you do not cancel before the trial ends, your payment method will be charged for the first billing period. Trial terms will be communicated at the time of signup.

8.5 No Transaction Fees

UpdatePilot does not charge carry, placement fees, success fees, or any transaction-based fees related to investments or deals facilitated through the platform.


9. Intellectual Property

9.1 Your Content

You retain ownership of all content you create, upload, or provide through the Service, including update text, metrics, evidence, and attachments ("Your Content"). By using the Service, you grant UpdatePilot a limited, non-exclusive, worldwide license to host, store, transmit, display, and distribute Your Content solely as necessary to operate and provide the Service. This license includes displaying Your Content to investors according to the visibility tier you configure. This license terminates when you delete Your Content or your account, except as necessary for backup and archival purposes as described in our Privacy Policy.

9.2 AI-Generated Content

Drafts and summaries generated by UpdatePilot's AI features are based on Your Content. You own the final output once you review and approve it. We do not claim ownership of AI-generated drafts.

9.3 Our Intellectual Property

The Service, including its design, software, algorithms, branding (the UpdatePilot name, logo, and visual identity), and documentation, is owned by UpdatePilot and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described here.

9.4 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without obligation to you.


10. Acceptable Use

You agree not to use the Service to:

  • Submit false or intentionally misleading financial information to deceive investors
  • Scrape, crawl, or systematically harvest data from the platform except through our published API
  • Attempt to access another user's account, data, or API tokens
  • Circumvent access controls, rate limits, or the three-tier visibility model
  • Send spam, unsolicited communications, or use the Service for marketing purposes unrelated to investor updates
  • Interfere with or disrupt the Service's infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service for any illegal purpose
  • Resell, sublicense, or commercially redistribute access to the Service or data obtained through it

10.1 Investor-Specific Restrictions

Investors may not:

  • Use data obtained through UpdatePilot to create competing databases or data products
  • Share full-access data with third parties without the founder's consent
  • Use automated tools to mass-request access to founder profiles
  • Contact founders through channels outside of UpdatePilot to circumvent the access model (e.g., using publicly available email addresses to request data that is behind the full-access tier)

10.2 Enforcement

We may investigate violations of these Terms and take action including issuing warnings, temporarily suspending access, permanently terminating accounts, and reporting illegal activity to appropriate authorities. We will attempt to notify you before taking enforcement action unless immediate action is required to protect the Service or other users.


11. Disclaimers

11.1 Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform scheduled maintenance with reasonable advance notice, and unscheduled maintenance when necessary.

11.2 No Investment Advice

UpdatePilot is a communication and data platform. Nothing on the Service constitutes investment advice, a recommendation to invest, or an endorsement of any company. Investors are solely responsible for their own investment decisions. We do not verify the accuracy of founder-provided data and make no representations about the financial health, prospects, or legitimacy of any company on the platform.

11.3 No Guarantee of Fundraising Outcomes

Using UpdatePilot does not guarantee that founders will raise capital, find investors, or achieve any particular business outcome. The discovery platform connects founders and investors but does not facilitate transactions or act as a broker-dealer.

11.4 AI Limitations

AI-generated content may contain errors, omissions, or inappropriate suggestions. AI features are tools to assist your workflow, not replacements for your judgment. You are responsible for reviewing all AI-generated content before sending or publishing it.

11.5 Third-Party Integrations

We are not responsible for the accuracy, availability, or security of third-party services you connect to UpdatePilot. Integration data is imported on an "as is" basis. If a third-party service provides incorrect data, the error will be reflected in your updates.

13. Indemnification

You agree to indemnify, defend, and hold harmless UpdatePilot and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service; your violation of these Terms; your violation of any third party's rights, including intellectual property rights; the content of your updates or any data you submit to the Service; or your breach of any applicable law or regulation.


14. Termination

14.1 Termination by You

You may terminate your account at any time by going to Settings → Account → Delete Account. Upon termination:

  • Your public profile is immediately removed
  • Investor access to your data is immediately suspended
  • Your data is retained for 30 days in case you change your mind
  • After 30 days your data is permanently deleted (with encrypted backups purged within 90 days)

14.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, if your account has been inactive for 24 consecutive months, if required by law or legal process, or for any reason with 30 days' written notice. If we terminate your account without cause, we will provide a pro-rated refund for any prepaid subscription period.

14.3 Survival

Sections 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law and Disputes) survive termination of these Terms.


15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect and post the updated Terms on our website. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and delete your account.


16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

16.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service will first be attempted to be resolved through informal negotiation by contacting legal@updatepilot.ai. If informal resolution is not achieved within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Delaware or remotely at the parties' mutual agreement. The arbitrator's decision will be final and binding.

16.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding. This waiver applies to the fullest extent permitted by law.

16.4 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.


17. General Provisions

Entire Agreement — These Terms, together with our Privacy Policy and any plan-specific terms presented at checkout, constitute the entire agreement between you and UpdatePilot.

Severability — If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

Waiver — Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Notices — We will send notices to the email address associated with your account. You are responsible for keeping your email address current. Notices to us should be sent to legal@updatepilot.ai.

Force Majeure — Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
